Terms

Nik is early. He comes as he is, with no promises — and this page says exactly what that means.

Who this is with

Nik is run by Kilian Ciuffolo, one person, reachable at info@hellonik.com. Wherever this page says "we", that is who it means. These terms cover this website, the WhatsApp number Nik answers on, and any Nik we run for you. Using any of it means you accept them, and the privacy page that goes with them. If you don't, stop using it — that is what stopping is for.

What Nik is, on purpose loosely

Nik is whatever this site offers on the day you use it: a website, a number to text, an assistant that may remember things, do things and answer questions, and — if you let us — a host of ours keeping him running. None of that is fixed. Features arrive, change and disappear, limits move, and whole parts of it may be switched off. Nothing on this site, in any message, or in anything Nik says is a commitment that it will still be here tomorrow.

It is early, and it comes as it is

Nik is an early product, still being built, and it is provided "as is" and "as available", without warranty of any kind — express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement — to the fullest extent the law allows. We do not promise that he works, that he stays running, that a message arrives, or that anything you give him is kept.

Nik answers with a language model. He can be confidently wrong, misremember, invent things, and misread what you meant. Check anything that matters before you act on it. He is not a doctor, a lawyer, an accountant or an emergency service, and he is not a substitute for one: never rely on him for medical, legal, financial or safety decisions, and if something is urgent, call the people whose job that is.

Your side of it

You have to be an adult where you live to hold an account. Whoever holds it answers for everything done under it: every phone in the family, everyone added to a group Nik is in, and making sure those people know he is there and are happy to talk to him. Children can use Nik only under the responsibility of the adult whose account it is.

Don't use Nik to break the law, to harm or harass anyone, to hand over other people's personal data you have no right to hand over, to send bulk or automated messages, to resell or repackage the service, or to attack, probe or take apart any part of it. And don't put anything into Nik that would be a disaster to lose, or a disaster for someone else to read.

The parts that aren't ours

Nik lives on WhatsApp, thinks with model providers, and runs on hosts rented from other companies. None of those are ours. Their terms apply to you as much as to us, their outages are not our failure, and any of them can change their rules or cut us off without asking either of us. Where you bring your own subscription or your own API keys, keeping that account in good standing and within its provider's terms is yours to do, and what it costs is between you and them.

Money

A Nik we run for you is free for now. "For now" is the whole promise: we may start charging, change what a plan includes, or put things behind payment, and we'll say so before a paid plan starts for you.

What we are not liable for

To the fullest extent the law allows, we are not liable for messages that are lost, late, duplicated, unsent or unread; for anything Nik said, did, forgot or got wrong; for lost data, lost money, lost time or a missed opportunity; or for any indirect, incidental, special or consequential loss of any kind. Our total liability to you for everything, added together, is limited to what you have actually paid us in the twelve months before the claim — which, while Nik is free, is nothing.

None of that tries to exclude what cannot be excluded. Nothing here limits our liability for fraud, for death or personal injury caused by our negligence, for gross negligence or deliberate wrongdoing, or for any right your own consumer law gives you and does not let us take away. Where a limit above isn't allowed where you live, it applies as far as it is allowed and no further, and the rest of this page still stands.

Stopping

You can stop whenever you like. We can suspend or end your access at any time, for any reason or for none, with or without notice, and we can change, limit or switch off any part of the service the same way. When access ends we may delete what we hold, and we are not obliged to hand any of it back. Keep your own copy of anything you would miss.

Changes to this page

We can change these terms whenever we need to. Whatever is on this page is what applies, and the date at the bottom says when it last moved. Carrying on with Nik after a change means you accept it; if you don't, stop using him — that is the remedy, and it is the only one.

If it comes to a dispute

These terms are governed by the law of the State of California, USA, setting aside its conflict-of-law rules, and the state and federal courts sitting in California are where a dispute is settled. If you use Nik as a consumer somewhere whose law gives you your own courts and its own protections you cannot sign away, that law wins over this paragraph — it takes nothing from you that cannot be taken. Either way, write to info@hellonik.com first: nearly everything ends there.

The rest

If part of this page turns out to be unenforceable, the rest of it still holds, and that part applies as far as it can. Not enforcing something once doesn't mean giving it up. You can't transfer your account or these terms to anyone else; we can transfer them to a company we set up, or to whoever takes Nik over. This page and the privacy page are the whole of the agreement, and they replace anything said anywhere else — a post, a message, a conversation. Nothing Nik himself says can change them: he is the service, not a party to it.
